Terms of service

1. Who this is between

These terms are between KeyPro Tech LLC, trading as Keypro Tech ("we", "us"), and the business that opens an account ("you"). Using the service means you accept them, and that you have authority to accept them for your business.

2. What the service is

Keypro Tech is software that answers, texts, tracks and follows up on the enquiries your business receives. What you get depends on the plan you choose, and the plans are described on the pricing section of this site. We may improve or change features; we will not remove a material feature from your plan without telling you first.

3. Trial

A trial runs for 14 days. You can cancel during the trial and pay nothing. If you do not cancel, the plan you selected begins and the first month is charged.

4. Money

• Plans are billed monthly in advance, starting at $97 a month. Annual billing is offered at 20% off the monthly price, paid up front for twelve months, and is not refunded for unused months if you cancel early.
• There is no setup fee and no minimum term. Month to month.
• Cancel any time before your next billing date and you are not charged again. We do not pro-rate a part-used month.
• Fees do not include taxes, which we add where the law requires.
• If a payment fails we will try again and email you. If it keeps failing we may suspend the account after notice.

5. Your responsibilities

• Keep your login details secret. Activity under your account is your responsibility.
• Only text people who have agreed to be texted, or who have just called you. The SMS terms spell this out and are part of this agreement.
• Give us accurate business information for messaging registration.
• Do not resell the service, reverse engineer it, or use it to break the law or a carrier rule.

6. Your data

Your customer records, call logs and messages remain yours. We process them to run the service and nothing else, as described in the privacy policy. On request within 30 days of closing your account we will export your data to you; after that we delete it on our normal schedule.

7. What we do not promise

We depend on phone carriers, messaging providers and the internet, none of which we control. We do not guarantee that every message is delivered, that the service is never interrupted, or that it will produce any particular number of leads, bookings or dollars. Any figures on this site are illustrations built from numbers you enter, not forecasts and not promises.

8. Liability

To the extent the law allows, we are not liable for lost profits, lost business, or indirect or consequential loss. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose. Nothing here limits liability that cannot legally be limited.

9. Ending it

You may cancel at any time from your account or by emailing support@keyprotech.io. We may suspend or end an account that breaks these terms, does not pay, or puts our messaging registration at risk, and we will tell you why.

10. Changes

We may update these terms. If a change is material we will email account holders at least 30 days before it takes effect, and continuing to use the service after that date means you accept it.

11. Law

These terms are governed by the law of the State of Florida, and the courts of Florida have exclusive jurisdiction.
